Terms for the bijnis wholesale platform, operated by Bizcrum Infotech Private Limited. Bijnis is now Zorit.
Welcome to Bijnis (A Product of Bizcrum Infotech Pvt Ltd)
1. These terms and conditions outline the rules and regulations for the use of Bizcrum Infotech Pvt Ltd's (Bijnis)(https://www.bijnis.com (“Platform”)). By accessing this Platform,we assume you accept these terms and conditions in full. Do not continue to use the Platform if you do not accept all of the terms and conditions stated on this page.
2. The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Client”, “You” and “Your”refers to you, the person accessing this Platform and accepting the Company’s terms and conditions.“The Company”, “Ourselves”, “We”, “Our”, “Us” and “Bijnis”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of India.
3. bijnis will communicate with the User via SMS, internet-based messaging services like WhatsApp, voice call, email, or any other alternate communication method the User provided at the time of order to confirm the delivery, cancellation, payment confirmation, refund status, schedule change, or any other information pertinent to the transaction or order placed by the user.
4. bijnis may also get in touch with the User using the methods listed above on any pending or unsuccessful order placement to find out the User's preferences for completing the order. You have the right to object to our processing of your Information which is used to send you promotions, special offers, marketing messages, including where we build profiles for such purposes.
5. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same. Unless otherwise stated, the Company and/or it’s licensors own the intellectual property rights for all material on the Company. All intellectual property rights are reserved. You may view and/or print pages from the Platform for your own personal use subject to restrictions set in these terms and conditions.
6. You must not:
a. Republish material from the Platform
b. Sell, rent or sub-license material from the Platform
c. Reproduce, duplicate or copy material from the Platform
d. No part of the Platform and no content on the Platform may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, platform or other medium for publication or distribution or for any commercial enterprise, without our express prior written consent.
e. Redistribute content from the Company (unless content is specifically made for redistribution).
7. Hyperlinking to our Content
a. The following organizations may link to our Platform without prior written approval:
(i) Government agencies;
(ii) Search engines;
(iii) News organizations;
b. The distributors or sellers, can provide a link to our Platform if they wish their business customers to purchase online from our Platform. The link to our Platform maybe provided in the same manner as they provide hyperlinks to the websites of other listed businesses, however, please ensure that there is a disclaimer to the effect that the buyers are businesses and not retail customers. These organizations providing a link to our Platform may link to our home page, to publications or to other website information so long as the link:
(i) is not in any way misleading
(ii) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and
(iii) fits within the context of the linking party’s site.
c. We may consider and approve in our sole discretion other link requests from the following types of organizations:
(i) Commonly-known consumer and/or business information sources such as Chambers of Commerce, India.
(ii) Associations or other groups representing charities, including charity giving sites,
(iii) Online directory distributors;
(iv) Internet portals;
d. We will approve link requests from accounting, law and consulting firms whose primary clients are businesses; and educational institutions and trade associations if we determine that:
(i) The link would not reflect unfavorably on us or our accredited businesses (for example, trade associations or other organizations representing inherently suspect types of business, such as work-at- home opportunities, shall not be allowed to link);
(ii) The organization does not have an unsatisfactory record with us;
(iii) The benefit to us from the visibility associated with the hyperlink outweighs the absence of ; and
(iv) Where the link is in the context of general resource information or is otherwise consistent with editorial content in a newsletter or similar product furthering the mission of the organization.
e. These organizations may link to our home page, to publications or to other website information so long as the link:
(i) is not in any way misleading;
(ii) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and
(iii) fits within the context of the linking party's site.
f. If you are among the organizations listed in paragraph 5(c) and (d), read with paragraph 5(e) above, and are interested in linking to our Platform, you must notify us by sending an e-mail to info@bijnis.com. Please include your name, your organization name, contact information (such as a phone number and/or e-mail address) as well as the URL of your site, a list of any URLs from which you intend to link to our Platform, and a list of the URL(s) on our site to which you would like to link. Allow 2-3 weeks for a response.
g. Approved organizations may hyperlink to our Platform as follows:
(i) By use of our corporate name; or
(ii) By use of the uniform resource locator (web address) being linked to; or
(iii) By use of any other description of our Platform or material being linked that makes sense within the context and format of content on the linking party's site.
h. No use of Bijnis logo or other artwork will be allowed for linking absent a trademark license agreement. Without prior approval and express written permission, you may not create frames around our web pages or use other techniques that alter in any way the visual presentation or appearance of our Platform.
8. Reservation of Rights
We reserve the right at any time and in its sole discretion to request that you remove all links or any particular link to our Platform. You agree to immediately remove all links to our Platform upon such request. We also reserve the right to amend these terms and conditions and its linking policy at an time. By continuing to link to our Platform, you agree to be bound to and abide by these linking terms and conditions.
9. Removal of links from our Platform
a. If you find any link on our Platform or any linked website objectionable for any reason, you may contact us about this. We will consider requests to remove links but will have no obligation to do so or to respond directly to you.
b. Whilst we endeavor to ensure that the information on this Platform is correct, we do not warrant its completeness or accuracy; nor do we commit to ensuring that the Platform remains available or that the material on the Platform is kept up to date.
10. Obligations, Covenants and Warranties of Client
a. Your business is validly existing and incorporated / established as per the provisions of applicable laws.
b. You shall comply with all applicable laws while using and accessing the Platform.
c. any order and / or user content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party.
d. You acknowledge that we reserve the right to evaluate (i) the information provided by you regarding yourself on or through the Platform; and (ii) the business license; provided by you to confirm its authenticity, post which you shall be permitted to use the Platform.
e. You shall notify us immediately if any information furnished by you, as part of the on-boarding process, changes, including but not limited to, any change in business address, contact number, change of authorized representatives, suspension/cancellation of the business license, discontinuation of business, etc.
f. You acknowledge that you are required to complete the onboarding process within before placing any order, and that you hold:
(i) a sales tax or VAT registration or service tax or excise duty or Goods and Services Tax (GST) registration; or
(ii) trade licenses i.e., a license/registration certificate/membership certificate/registration under Shops and Establishment Act, issued by a Government Authority/Government Body/Local Self-Government Authority, reflecting that the entity/person holding the license/ registration certificate/ membership certificate, as the case may be, is itself/ himself/herself engaged in a business involving commercial activity;
(iii) permits/license etc. for undertaking retail trade from Government Authorities or Local Self Government Bodies; or
(iv) certificate of incorporation or registration as a society or registration as public trust for their self-consumption.
g. You acknowledge that the Company has the right to obtain any of the above document(s) from You within 2 months of your registration on the Platform.
h. You will not use or access the Platform for your personal purposes / consumption and any products that You purchase shall be solely for the purposes of resale, trade, business, institutional, industrial, and / or any other commercial purposes and not for personal consumption.
i. You acknowledge that we do not have any control or do not determine or advise or in any way involve ourselves in the offering or acceptance of such commercial terms between the you and the seller on our Platform. At no time shall we hold any right, title or interest over the products (unless sold by us). Provided this condition is applicable in the event Bijnis is not a seller on the Platform.
j. You shall, at all times, ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable laws, rules and regulations including the provisions of foreign exchange laws and regulations. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable laws including foreign exchange laws or regulations for the time being in force.
k. You shall provide your consent for the purchase of any products or services offered on our Platform where such consent is expressed through an explicit and affirmative action (automatically, including in the form of pre-ticked checkboxes), and the you shall also provide a written confirmation that (i) you are duly registered under applicable law as a business entity and qualify as a “business customer” as per the “Guidelines for Cash & Carry Wholesale Trading” FDI Policy; (ii) you have procured adequate statutory registrations including without limitation, its GSTIN and PAN.
l. You may be required to promptly furnish additional documents or information as and when requested by Bijnis to continue using and accessing the Platform and availing the services. You agree to promptly provide such additional documents and information.
11. Content Liability
We shall have no responsibility or liability for any content appearing on your website. You agree to indemnify and defend us against all claims arising out of or based upon your website. No link(s) may appear on any page on your website or within any context containing content or materials that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.
12. Limitation on Liability
Further, we shall not have any liability whatsoever for any claims arising from: (a) any of your acts or omissions; (b) compliance with the instructions given by you or any person acting on your behalf; (c) an act or order of any government authority; (d) the insufficiency of the packing or labelling of shipment; (e) the nature, description, or contents of the shipment; (f) any force majeure event; (g) any cause which we could not avoid and the consequences whereof we could not prevent by the exercise of reasonable diligence; and/or (h) any dispute or claims between the seller and you including without limitation relating to the shipment or products hereunder. In case of orders where Bijnis has fulfilled and met the exact specifications (if any) provided by you, Bijnis shall not be liable for any consequential, actual, incidental, special, exemplary or punitive damages, including but not limited to any lost profits that result from your purchase of any products on platform or any services availed.
13. Disclaimer
To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our Platform and the use of this Platform (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill). Nothing in this disclaimer will:
a. Limit or exclude our or your liability for death or personal injury resulting from negligence;
b. Limit or exclude our or your liability for fraud or fraudulent misrepresentation;
c. Limit any of our or your liabilities in any way that is not permitted under applicable law; or exclude any of our or your liabilities that may not be excluded under applicable law.
To the extent that the Platform and the information and services on the Platform are provided free of charge, we will not be liable for any loss or damage of any nature.

14. Disparagement
You agree that you will not (and shall cause its affiliates and subsidiaries not to), except done in good faith in any claim, suit, action or proceeding against us, (a) make any negative statement or communication regarding the us or our affiliates or subsidiaries or employees with the intent to harm us, or (b) make any derogatory or disparaging statement or communication regarding us or our affiliates or subsidiaries or employees.
